<p>Robert Half is partnering with an organization that is seeking a Corporate Attorney to join our legal team and provide comprehensive legal support across corporate, commercial, and real estate transactions. This role involves managing complex deal structures, overseeing closings, and negotiating agreements directly with counterparties. The attorney will also handle entity governance, regulatory filings, and contract drafting. Senior-level candidates will lead transactions independently and exercise full discretion without supervision. This position is located near Warwick, RI. </p><p><br></p>

<p>Required Experience</p><p><br></p><ul><li>Juris Doctor (JD) and licensed to practice law in Rhode Island</li><li>3–5 years (Associate) or 5+ years (Senior) of corporate legal experience, preferably in a law firm or in-house setting</li><li>Full-cycle commercial closing experience in transactions of $5M+ preferred:</li><li>Commercial real estate acquisitions (buyer representation)</li><li>Asset and/or equity sales and acquisitions (buyer or seller representation)</li><li>Commercial debt financing (borrower-side representation)</li><li>Direct negotiation with opposing counsel on all major transactions and agreements</li><li>Business entity formation, including drafting/review of LLC operating agreements and familiarity with RI Secretary of State filings</li><li>Commercial contracts – drafting, review, and negotiation</li><li>For Senior-Level candidates:</li><li>Acted as lead counsel on closings, entity formations, and contract negotiations</li><li>Exercised discretion and judgment without senior counsel supervision</li></ul>
