<p>A global technology and solutions company is seeking an <strong>Associate General Counsel</strong> to support its U.S. commercial, state/local government, and international business operations. This role is part of a small, collaborative legal team and reports directly to the U.S. General Counsel. The position involves advising various business units on a wide range of government and commercial contract matters in a fast-paced, collegial environment.</p><p><br></p><p>This is a hybrid position and requires 2-3 days/week in-office.</p><p><br></p><p><strong>Key Responsibilities</strong></p><ul><li>Lead contract negotiations with commercial, government, and international clients, including drafting and reviewing complex contracts, subcontracts, teaming agreements, and software licenses.</li><li>Advise internal teams on negotiation strategies and risk mitigation during proposal development, contract execution, and performance.</li><li>Provide guidance on teaming arrangements, partner relationships, and compliance-related due diligence for distributors, agents, suppliers, and subcontractors.</li><li>Interpret complex contract provisions throughout the lifecycle of programs and agreements.</li><li>Collaborate closely with internal stakeholders and legal team members on dispute resolution and litigation matters.</li><li>Develop and deliver training on legal processes and assist in implementing policies and procedures.</li></ul><p><br></p>

<p><strong>Qualifications</strong></p><ul><li>JD from an ABA-accredited law school; active membership in at least one U.S. State Bar.</li><li>8–10+ years of legal experience, preferably with a mix of law firm and in-house practice.</li><li>Strong understanding of commercial and public sector contracting practices.</li><li>Proven ability to lead negotiations independently and manage multiple legal matters simultaneously.</li><li>Excellent communication, analytical, and interpersonal skills.</li><li>Collaborative mindset with a proactive, hands-on approach to problem-solving.</li></ul><p><strong>About the Company</strong></p><p>This organization is a global leader in technology-driven solutions, operating across multiple sectors including security, healthcare, connectivity, and infrastructure.
