Legal Assistant
We are looking for a skilled Legal Assistant to join our team on a contract basis in Wheaton, Illinois. This role involves providing essential support to attorneys in handling transactional and corporate matters. If you have a strong background in corporate law and are eager to work in a dynamic legal environment, we encourage you to apply.<br><br>Responsibilities:<br>• Draft and file formation and dissolution documents with the Illinois Secretary of State and other jurisdictions.<br>• Obtain certificates of good standing and certified copies from relevant agencies.<br>• Prepare and submit applications for federal employer identification numbers (EINs).<br>• Support deal closings by organizing signature pages, closing certificates, and filing necessary local, state, and federal documents under attorney supervision.<br>• Maintain corporate records and minute books to ensure compliance and organization.<br>• Draft and file qualification and withdrawal applications as needed.<br>• Prepare stock certificates, resolutions, and other corporate governance documents.<br>• Submit statutory filings and Uniform Commercial Code (UCC) statements, amendments, and terminations.<br>• Coordinate pre-closing, signature page distribution, and post-closing document assembly.<br>• Develop closing checklists and oversee the execution of required documents.
• At least 5 years of experience as a corporate/transactional paralegal or legal assistant within a law firm or corporate legal department.<br>• A bachelor's degree and/or a paralegal certificate is preferred.<br>• Authorization to work in the United States is required.<br>• Proven ability to deliver high-quality support to attorneys and clients.<br>• Exceptional organizational skills with a keen eye for detail.<br>• Strong written and verbal communication abilities.<br>• Ability to prioritize tasks effectively and work independently with minimal supervision.<br>• Familiarity with Westlaw, Lexis, and Uniform Commercial Code (UCC) filings is a plus.
