<p>We are seeking a highly skilled and business-oriented Technology Transactions/IP Attorney to join our client's legal team in their San Francisco office on an ongoing contract basis.</p><p> </p><p>This role will support a wide range of technology-related commercial transactions and provide strategic legal guidance on intellectual property, data privacy, and emerging technologies including AI/ML. The ideal candidate will have a strong background in negotiating complex agreements, advising cross-functional teams, and managing IP portfolios in a fast-paced, global environment.</p><p> </p><p>The candidate should be able to report on-site at least two days a week.</p><p><br></p><p><strong>Key Responsibilities</strong></p><ul><li>Review, draft, and negotiate a variety of technology-related agreements, including:</li><li>Software licensing, SaaS, cloud services, hardware, AI/ML, and data-sharing</li><li>Joint development, strategic alliances, supply, manufacturing, and sales contracts</li><li>Advise on IP ownership, licensing, and open-source software matters in commercial transactions</li><li>Provide legal counsel on AI/ML use cases, regulatory developments, and integration into products</li><li>Support compliance with global data privacy and cybersecurity regulations, including cross-border data transfers</li><li>Collaborate with product, engineering, and business teams to enable go-to-market strategies and ensure regulatory compliance</li><li>Maintain and enhance contract templates, negotiation playbooks, and internal technology/IP policies</li><li>Serve as a liaison between the Legal team and global outside counsel for IP portfolio management</li><li>Partner with the General Counsel to develop and execute IP strategy</li></ul>

<p><strong>Qualifications</strong></p><ul><li>Juris Doctor (JD) from an accredited law school; active member in good standing of at least one U.S. state bar</li><li>Minimum of 4 years of experience in technology transactions or software/semiconductor-based system patents, with a preference for technology transactions</li><li>Experience in both law firm and in-house legal roles preferred</li><li>Deep understanding of software, SaaS, AI/ML, hardware, and data-related agreements</li><li>Proven ability to advise senior business leaders and negotiate high-value, complex transactions</li><li>Exceptional drafting, communication, and analytical skills with the ability to simplify complex legal concepts</li><li>Experience working in a dynamic, fast-paced company with global operations</li><li>Undergraduate degree in science, engineering, or mathematics is a plus</li></ul><p>This is an exciting opportunity to work at the intersection of law, technology, and innovation.
