We are looking for an experienced Associate General Counsel to join a leading organization in the manufacturing industry, based in Philadelphia, Pennsylvania. This role offers the opportunity to provide strategic legal counsel on a variety of corporate, commercial, and regulatory matters. The ideal candidate will have a strong background in transactional law, compliance, and litigation management, with a focus on supporting business objectives in a fast-paced environment. Responsibilities:• Draft, review, and negotiate a wide range of commercial agreements, including NDAs, procurement, vendor, and employment contracts.• Provide legal guidance on corporate transactions, including mergers, acquisitions, and entity formation.• Advise on regulatory compliance matters, ensuring adherence to local, state, and federal laws.• Oversee litigation strategy and coordinate efforts with outside counsel to manage legal disputes effectively.• Collaborate with internal teams to address labor and employment law issues, such as workplace policies and employee relations.• Conduct legal research and analysis to support business initiatives and mitigate risks.• Develop and implement corporate governance policies, ensuring alignment with strategic goals.• Manage complex business transactions and provide practical legal advice to support decision-making.• Support the organization in maritime and transportation law matters, including shipping contracts and regulatory issues.• Lead internal investigations and ensure compliance with ethics and risk management policies.

• Juris Doctor (J.D.) degree from an accredited law school. • Active membership in the bar of at least one U.S. jurisdiction, with preference for Pennsylvania and/or New Jersey. • Minimum of 5 years of experience in corporate, commercial, or transportation law, preferably in an in-house or law firm setting. • Demonstrated expertise in drafting and negotiating complex contracts and agreements. • Strong knowledge of regulatory compliance and corporate governance practices. • Proven ability to manage litigation and work effectively with outside counsel. • Experience advising on labor and employment law matters. • Excellent communication, analytical, and problem-solving skills, with a focus on delivering business-oriented legal solutions.
