Commercial Counsel
<p><strong>Position Overview:</strong></p><p>A leading technology company in Fremont is seeking a skilled Commercial Contracts Attorney with proven government contracts experience to join its legal team. This role will focus on drafting, reviewing, and negotiating a variety of commercial agreements, with a significant emphasis on compliance with federal, state, and local government contract regulations. The ideal candidate is adept at advising on risk, supporting contract administration, and ensuring adherence to all applicable laws and requirements pertaining to government-funded work.</p><p><strong>Key Responsibilities:</strong></p><ul><li>Draft, review, and negotiate commercial contracts, including master service agreements, NDAs, procurement, and licensing agreements</li><li>Lead and advise on contracts with federal, state, and local government agencies, including FAR/DFARS compliance, subcontracting, and flow-down requirements</li><li>Collaborate with business, compliance, and procurement teams to address contract-related risks and regulatory updates</li><li>Provide guidance throughout the bid and proposal process for government contracts, including RFP/RFQ interpretation and support</li><li>Identify and mitigate risks related to contract formation, performance, and dispute resolution</li><li>Maintain detailed contract records and ensure compliance with internal controls and company requirements</li><li>Monitor developments in government contracting laws and regulations to ensure ongoing compliance and proactive risk management</li></ul><p><br></p>
<p><strong>Required Qualifications:</strong></p><ul><li>Juris Doctor (JD) from an accredited law school; active Bar membership in at least one U.S. jurisdiction</li><li>3+ years of experience focused on commercial contract law, with substantial exposure to government contract matters</li><li>Hands-on experience with FAR, DFARS, and other government procurement requirements</li><li>Strong negotiation, analytical, and problem-solving skills</li><li>Excellent written and verbal communication skills</li><li>Demonstrated ability to work independently and collaboratively in a fast-paced, dynamic technology environment</li><li>Ability to work on-site on a hybrid basis in Fremont, CA </li></ul><p><br></p>
