Corporate Securities/Financing Attorney
<p>We are looking for an Attorney with expertise in Corporate and Securities law to join our team in Seattle. This role is ideal for someone who excels at advising startup companies, negotiating venture capital deals, and managing mergers and acquisitions. The successful candidate will have a solid track record of working with venture-backed technology startups and emerging growth companies at various stages of development. This role is targeted for 1-4 YOE in Corporate Finance/Securities Law.</p><p><br></p><p>Responsibilities:</p><p>• Represent startups or investors in equity financings, including seed, Series A, and later stages, as well as convertible instrument transactions.</p><p>• Prepare and review critical financing documents, including term sheets, stock purchase agreements, and voting agreements.</p><p>• Ensure compliance with securities laws, including exemptions under the Securities Act of 1933 and Blue Sky filings.</p><p>• Counsel clients on regulatory compliance for equity crowdfunding, Regulation A+, and other securities offerings.</p><p>• Manage mergers, acquisitions, and restructuring transactions, including conducting due diligence and drafting transaction documents.</p><p>• Serve as outside general counsel to startup clients, advising on commercial contracts, cap table management, and equity compensation plans.</p><p><br></p><p>Firm offers full benefits including multiple healthcare plans, 401K, profit sharing, flexible PTO, free parking, hybrid work, generous bonus plan, and more!</p><p><br></p><p>To submit your resume confidentially please send to Sam(dot)Sheehan(at)RobertHalf(dot)(com)</p>
<p>Juris Doctor (J.D.) degree from an accredited law school.</p><p>Active membership in the Washington State Bar and in good standing.</p><p>Experience with Corporate Financing, Securities, or Venture Capital docs</p><p><br></p>
