As [Corporate Counsel], you will be responsible for assisting the firm’s financial staff and other members of the Legal Department in connection with legal and regulatory matters relating to the firm’s investment banking activities, including M& A, capital markets, restructuring and liability management transactions. You will primarily be involved with (i) drafting, advising on, and negotiating non-disclosure agreements, client engagement letters and other agreements and documentation relating to the firm’s investment banking and financial advisory activities and (ii) advising the firm’s financial staff and other internal constituencies with respect to legal, regulatory, commercial, reputational, and other issues relating to the firm’s business activities. Job Description • In coordination with the firm’s investment banking staff and other members of the Legal and Compliance Department, drafting, reviewing, advising on, and negotiating client engagement letters and other engagement-related agreements relating to the firm’s investment banking and financial advisory activities. • Providing day-to-day advice and counseling to the investment banking staff and other internal constituencies with respect to legal, regulatory, commercial, reputational, and other issues relating to the firm’s business activities, including contract interpretation, dispute resolution, and identifying and managing potential conflicts of interest and other potential risks. • Keeping abreast of legal and regulatory developments and “best practices” relating to the firm’s investment banking activities, and developing, revising, implementing, and monitoring compliance with policies and procedures to ensure compliance with legal and regulatory requirements and “best practices”. • Managing and coordinating with outside counsel, when engaged. • Recommending new approaches, policies, and procedures to effect continual improvements in efficiency or based on legal developments and trends. • Assisting in the management of litigation and other disputes. • Performing other related duties as assigned Requirements • JD degree from top U.S. law school • Licensed to practice law in one or more states of the U.S. • 4-8 years of legal experience as a practicing attorney, preferably as a full-time attorney in a law firm and/or in-house legal department • Prior experience working in an investment bank is a plus but is not required • Significant experience with, and knowledge of market practices for, M& A and financing transactions • Versatility in handling a wide variety of matters involving a range of different products and businesses, and a willingness to adapt, develop new skills, and share knowledge • Excellent verbal, drafting and contract negotiation skills • Strong research skills and attention to detail • Ability and desire to work in a fast-paced and challenging environment, prioritizing, and juggling multiple matters • Professional and commercial approach to problem-solving • Ability to use good judgment and common sense when interacting with external and internal contacts • Confidence and ability to act as both a business and legal advisor • Ability to develop and maintain good working relationships with internal business clients and outside counsel
