Corporate Governance Manager
<p>We are seeking an experienced <strong>Manager, Corporate Governance</strong> to support the organization’s corporate governance and entity management framework. This role is responsible for statutory compliance, subsidiary governance across a global portfolio of 150+ legal entities, Board and Committee support, and ensuring the accuracy and integrity of corporate entity data across the group.</p><p><br></p><p>The role includes hands-on ownership of the organization’s entity management system and responsibility for day-to-day UBO/KYC processes in support of banking and counterparty requirements.</p><p>This is a highly visible position with regular interaction with senior stakeholders across EMEA, APAC, and North America, as well as external advisers and regulators. The successful candidate will be a proactive, detail-oriented governance professional who values precision, continuous improvement, and high-quality corporate administration.</p><p><br></p><p>Key Responsibilities</p><ul><li>Draft and coordinate Board and Committee documentation, including written resolutions and minutes, and maintain complete and accurate corporate records. Work closely with external administrators to manage directors’ and officers’ registers and all appointment and resignation documentation, including notarization and apostille processes where required.</li><li>Maintain statutory registers (members, directors, secretaries, PSC, charges) and oversee the accuracy and ongoing maintenance of PSC/UBO information. Coordinate with Tax, Finance, and HR teams to ensure timely and accurate statutory filings where interdependencies exist.</li><li>Act as system administrator and super user for the entity management platform. Perform quarterly reconciliations against Companies House and local registries, lead biannual corporate data health checks, and ensure the integrity of entity data across the group.</li><li>Produce and maintain organizational and ownership structure charts, manage share allotments and transfers within the entity management system, and build and maintain complete historical corporate records, including constitutional documents, minutes, written resolutions, powers of attorney, share certificates, and D& O appointment and resignation letters.</li><li>Prepare shareholder reporting for private equity stakeholders, supporting quarterly and annual reporting requirements.</li><li>Lead UBO mapping and attestations and prepare KYC packages for banks and counterparties, including certified incorporation documents, statutory registers, structure charts, and sanctions screening confirmations.</li><li>Support the Legal team on significant corporate initiatives, including financing arrangements, M& A transactions, and other strategic corporate matters.</li><li>Act as the primary liaison for audits, coordinating the provision of corporate governance and entity information and ensuring audit requests are fulfilled accurately, comprehensively, and on a timely basis.</li></ul>
• Extensive experience in corporate governance and subsidiary administration for large organizations.<br>• Proficiency in managing entity data platforms and conducting detailed reconciliations.<br>• Strong knowledge of statutory compliance requirements and corporate filings.<br>• Ability to draft and maintain legal documents, including resolutions, minutes, and registers.<br>• Proven ability to manage shareholder reporting and corporate audits effectively.<br>• Experience supporting corporate transactions, including M& A and financing projects.<br>• Excellent organizational and communication skills to interact with senior stakeholders and external advisers.<br>• Detail-oriented mindset with a focus on continuous improvement and precision.
