<p>We are looking for a talented Corporate Attorney to join our team in Alpharetta, Georgia. In this Contract to permanent position, you will play a crucial role in drafting, negotiating, and managing commercial contracts while ensuring compliance with legal standards across various jurisdictions. This is an exciting opportunity to be part of a dynamic organization experiencing growth, where you will collaborate with international teams and provide strategic legal counsel to support business operations.</p><p><br></p><p>Responsibilities:</p><p>• Draft, review, and negotiate a variety of commercial contracts, including master service agreements, statements of work, nondisclosure agreements, and vendor agreements.</p><p>• Provide strategic counsel on cross-border negotiations, advising on differences in US and European contracting norms, liability frameworks, and jurisdiction considerations.</p><p>• Develop and maintain contract templates tailored to meet the needs of both domestic and international entities.</p><p>• Ensure all contracts align with legal, regulatory, and internal risk standards across relevant jurisdictions.</p><p>• Train internal teams on contract provisions, terms and conditions, and indemnification clauses to ensure consistency and compliance.</p><p>• Collaborate with cross-functional teams to implement effective contract management practices and operational policies.</p><p>• Support the development and implementation of scalable legal processes to align with organizational growth.</p><p>• Contribute to risk assessments and provide legal insights to enhance decision-making within the business.</p><p>• Work closely with executive leadership and provide thought leadership in specific legal and business-related areas.</p><p>• Advise on employment law, data privacy, corporate governance, and international tax matters as needed.</p>
<p>• A Juris Doctor (JD) degree from an accredited law school and active bar membership.</p><p>• A minimum of 5 years of corporate legal experience, with a strong focus on structuring and negotiating commercial agreements.</p><p>• Proven expertise in drafting and redlining complex contracts, including product sales, service agreements, and licensing agreements.</p><p>• Familiarity with cross-border transactions and understanding of differences between US and European contracting frameworks.</p><p>• Experience in employment law, data privacy, corporate law, and international operations is highly desirable.</p><p>• Ability to manage multiple projects simultaneously with a proactive and independent approach.</p><p>• Strong collaboration skills and the ability to build relationships in a fast-paced environment.</p><p>• Experience managing small teams and working with cross-functional groups is a plus.</p>
