<p>We are looking for a dedicated Contracts Counsel to join our client's mission-drive non-profit team on a contract basis in Oakland, California. This person will play a critical role in ensuring organizational compliance and managing the contracts process with precision and care. This professional must be able to navigate complex agreements, maintain compliance standards, and support grant-related initiatives. This position requires an individual with strong attention to detail who thrives in a fast-paced environment, is able to manage evolving priorities, and is adept at collaborating with diverse stakeholders.</p><p><br></p><p><strong>Responsibilities:</strong></p><p><br></p><ul><li>Manage the entire contracting process, from initial drafting to execution, ensuring accuracy and adherence to organizational and funder requirements</li><li>Monitor and enforce compliance standards across all contracts, addressing concerns during regular meetings with executive leadership</li><li>Draft, review, and redline contracts to mitigate risks and uphold legal and regulatory standards</li><li>Provide support for grant agreements by managing compliance requirements and assisting with related documentation</li><li>Collaborate effectively with internal stakeholders, incorporating diverse perspectives to meet organizational goals</li><li>Identify and address potential risks in contracts, applying heightened diligence due to the organization’s funding structure</li><li>Ensure legal and regulatory compliance, particularly in contracts related to sole-source funding</li><li>Maintain meticulous records and documentation to support compliance and organizational transparency</li></ul>

<p><strong>Qualifications:</strong></p><p><br></p><ul><li>Licensed attorney with a strong background in corporate or contract law</li><li>Proven experience in managing and negotiating commercial contracts</li><li>Experience working in the non-profit sector and handling non-profit compliance </li><li>Skilled in drafting, reviewing, and redlining legal agreements</li><li>Familiarity with grant funding and associated compliance requirements is a plus</li><li>Ability to collaborate with diverse stakeholders, including executives and team members</li><li>Detail-oriented with a commitment to maintaining high compliance standards</li><li>Adaptable and able to thrive in a fast-paced, evolving work environment</li></ul>
