Our client is seeking a <strong>Director of Finance & Corporate Compliance</strong> to oversee finance operations, payroll, tax compliance, risk management, corporate governance, insurance administration, contracts, banking relationships, and strategic business initiatives.</p><p>Key Responsibilities</p><ul><li>Lead payroll operations for 350+ employees, including payroll tax compliance and ACA reporting</li><li>Oversee tax reporting, audits, financial compliance, and corporate filings</li><li>Manage insurance programs, risk management, and business continuity efforts</li><li>Administer contracts, legal documentation, leases, and vendor agreements</li><li>Oversee banking relationships, debt management, and financing agreements</li><li>Partner with executive leadership on budgeting, financial planning, growth initiatives, and special projects</li><li>Develop and strengthen internal controls, policies, and compliance programs</li></ul><p>This role is 100% in office and reports to the Owner of the company. We are looking for an experienced Tax Director to provide high-level tax guidance on a Contract basis for a specialized advisory environment serving architecture, engineering, and other specialized services organizations. This role is fully remote and based in Colorado, supporting complex transaction activity with a strong emphasis on tax planning, deal analysis, and due diligence. The ideal candidate will bring sound judgment across corporate tax matters and help shape practical recommendations during ownership transitions and merger and acquisition activity.<br><br>Responsibilities:<br>• Advise stakeholders on tax strategy related to mergers, acquisitions, and ownership transition matters within specialized services organizations.<br>• Evaluate proposed deal structures and explain the tax consequences associated with equity rollovers, asset versus stock transactions, and exemption considerations.<br>• Support due diligence efforts by reviewing financial and tax information, identifying exposures, and highlighting planning opportunities tied to transaction terms.<br>• Provide technical guidance on deferred tax matters, annual income tax provision considerations, and effective tax rate impacts.<br>• Oversee corporate tax compliance activities, including federal, state, and local tax considerations relevant to complex business scenarios.<br>• Review and interpret tax positions affecting transaction planning for firms in the architecture, engineering, or broader specialized services sectors.<br>• Partner with internal leadership to deliver timely recommendations during active deal periods, including approximately three-month diligence cycles.<br>• Utilize tax compliance and reporting tools such as CCH ProSystem fx, CCH Sales Tax, Deltek Advantage, or Unanet when needed to support analysis and reporting.

The ideal candidate brings strong leadership experience across accounting, treasury, budgeting, and financial analysis, along with the ability to partner effectively with internal teams and external stakeholders.</p><p><br></p><p>Responsibilities:</p><p>• Direct and develop teams responsible for accounting operations, treasury activities, loan servicing support, portfolio administration, and financial reporting.</p><p>• Ensure the delivery of timely and reliable financial statements and management reports, while providing analysis that helps leadership evaluate performance and opportunities for improvement.</p><p>• Lead the annual budgeting cycle in partnership with department leaders and maintain forecasts that reflect market conditions, operational trends, and business expansion plans.</p><p>• Oversee cash flow planning and liquidity management to support daily operations, long-term priorities, and efficient use of financial resources.</p><p>• Establish, update, and enforce finance and accounting policies, with close attention to regulatory obligations, investor reporting expectations, and evolving accounting guidance.</p><p>• Manage the annual external audit process and coordinate the preparation of required tax and organizational filings, including nonprofit-related reporting where applicable.</p><p>• Support certification, recertification, and ongoing compliance activities tied to key organizational designations and strategic business requirements.</p><p>• Guide the financial aspects of third-party administrative agreements, including contract development, renewals, compliance monitoring, and pricing evaluation for products and services.</p><p>• Promote the use of financial systems, analytics, and automation tools to improve accuracy, streamline processes, and strengthen decision support.</p><p>• Prepare investor-facing financial materials, due diligence packages, and impact reporting, while monitoring capital deployment for alignment with funding restrictions and target market requirements.</p>
