<p><strong>Corporate Counsel (Venture Capital & Emerging Companies)</strong></p><p><br></p><p><strong>Robert Half Legal</strong> is partnering with a highly regarded investment organization focused on building and scaling innovative healthcare and life sciences companies. Our client is seeking a <strong>Corporate Counsel</strong> to join its legal team and provide strategic support across venture investments, company formation, fund operations, and corporate governance matters.</p><p><br></p><p>This is an excellent opportunity for an attorney who enjoys working at the intersection of venture capital, emerging companies, and investment management. The position offers direct collaboration with senior leadership, investment professionals, finance teams, and portfolio company executives, along with significant long-term growth potential.</p><p><br></p><p>Key Responsibilities</p><ul><li>Draft, review, and negotiate venture capital investment documents, financing agreements, term sheets, and related transaction materials.</li><li>Support the formation, organization, and ongoing management of newly created portfolio companies and investment vehicles.</li><li>Partner closely with investment, finance, compliance, and company-building teams throughout the investment lifecycle.</li><li>Assist with legal matters involving venture financings, corporate governance, capitalization structures, and strategic transactions.</li><li>Prepare investment authorizations, corporate records, resolutions, and supporting legal documentation.</li><li>Manage and negotiate non-disclosure agreements and a variety of commercial agreements.</li><li>Coordinate with outside counsel on transactional, regulatory, and corporate matters.</li><li>Support fundraising efforts and legal operations related to private investment funds.</li><li>Assist with public company compliance matters for portfolio companies, including Section 13 and Section 16 reporting, director and officer questionnaires, and related securities law requirements.</li><li>Contribute to the development and implementation of internal legal, compliance, and operational policies and procedures.</li><li>Provide ongoing legal guidance to business teams as the organization's investment platform continues to grow.</li></ul><p>Compensation & Benefits</p><ul><li><strong>Base Salary:</strong> <strong>$235,000-265,000</strong>, based on experience.</li><li><strong>Annual Bonus:</strong> Target bonus opportunity of approximately <strong>20%</strong>.</li><li>Potential participation in carried interest programs and future investment opportunities.</li><li>Comprehensive benefits package including medical, dental, vision, life insurance, and retirement benefits and flexible PTO and paid holidays.</li><li>Additional perks and long-term growth opportunities within a highly successful investment platform.</li></ul>
