This is a hands-on transactional role focused on corporate and commercial matters. You will advise small-to-medium businesses, startups, real estate developers and entrepreneurs. This is not a role where you support a senior partner from a distance - you will have your own files, your own clients and direct involvement in transactions and business decisions from day one.</p><p><br></p><p><strong>Core Responsibilities:</strong></p><ul><li>Advise clients on incorporation, corporate structure and governance matters.</li><li>Handle business purchase and sale transactions - both share and asset deals.</li><li>Draft and negotiate commercial agreements including shareholder agreements, partnership agreements, service agreements and NDAs.</li><li>Act on commercial real estate transactions including acquisitions, dispositions and development matters in collaboration with the real estate team.</li><li>Advise on corporate reorganizations, business succession planning and equity compensation arrangements.</li><li>Support startup clients on financing structures, investor agreements and early-stage corporate matters.</li><li>Build and manage client relationships, serving as the primary point of contact on business law matters.</li><li>Partner closely with the firm's Managing Partner's to create strategies and make business decisions.</li></ul><p><br></p><p><br></p>
