A SOX director is responsible for leading an organization's Sarbanes-Oxley (SOX) compliance strategy and overseeing the governance, risk management and internal control programs that support financial reporting integrity. These leaders provide strategic direction for SOX compliance activities, helping ensure internal controls are designed, documented and operating effectively in accordance with regulatory requirements. As federal disclosure requirements ease and investors demand transparency through other channels, SOX directors play a key role in maintaining strong governance, reducing risk and preserving stakeholder confidence.SOX directors work closely with executive leadership, finance, accounting, internal audit, compliance and operational teams to oversee enterprise-wide control frameworks and compliance initiatives. Their leadership helps organizations strengthen governance practices, improve audit readiness and support accurate financial reporting across the business.

Typical SOX director duties:

Lead the organization's SOX compliance program and oversee the internal control framework governing financial reporting activitiesEstablish compliance strategies, governance practices and risk management initiatives that support regulatory requirements and business objectivesDirect enterprise-wide risk assessments, control evaluations, compliance monitoring activities and remediation efforts for identified control deficienciesPartner with executive leadership, internal audit and external auditors on compliance, governance, reporting and risk management matters, and provide updates on compliance activities, control effectiveness, and risk exposureDrive continuous improvement initiatives that strengthen internal controls, compliance processes and organizational governance while monitoring regulatory developments, business changes and emerging risks
