An Associate General Counsel provides strategic legal guidance and supports corporate, commercial and transactional activities to help organizations manage risk, achieve business objectives and maintain compliance with applicable laws and regulations. They advise leadership teams, oversee complex legal matters, negotiate commercial agreements, support corporate transactions, manage legal risk and improve legal processes.Working closely with executives, legal teams and cross-functional stakeholders, Associate General Counsels provide practical legal expertise that protects organizational interests, enables strategic growth and supports sound business decisions.

Typical associate general counsel duties:

Provide strategic legal advice and guidance to executives, business leaders and internal stakeholders on corporate, commercial and operational matters.Draft, review and negotiate complex commercial agreements, contracts and legal documents while balancing business objectives with legal and risk considerations.Advise on corporate law matters, governance requirements and organizational structures to support effective business operations.Support mergers, acquisitions and other strategic transactions through due diligence, transaction planning, document review and coordination with internal and external stakeholders.Lead and manage contract negotiations with customers, vendors, partners and other external parties to protect organizational interests and achieve favourable outcomes.Identify, assess and mitigate legal risks by providing practical solutions that support business priorities and operational goals.Interpret and advise on applicable laws, regulations and contractual obligations to help ensure compliance across business activities.Support corporate governance activities, including board-related matters, corporate records, entity maintenance and governance documentation.Collaborate with cross-functional teams to provide legal support for strategic initiatives, business projects and operational decisions.Manage relationships with external legal counsel and coordinate specialized legal support when required.Develop and improve legal processes, templates, policies and procedures to increase efficiency and consistency across the organization.Stay informed on legal and regulatory developments affecting the organization and provide guidance on emerging risks and opportunities.
