<p><span style="text-decoration: underline;"><strong>The Company</strong></span></p><p>A rapidly-growing natural resources company is looking for an all rounded Legal Counsel to support the business expansion.</p><p> </p><p> </p><p><strong><span style="text-decoration: underline;">The Role</span></strong></p><p><strong>Corporate & Governance</strong></p><ul><li>Act as the principal legal advisor to senior management and the Board on all legal and governance matters</li><li>Establish, maintain, and enhance corporate governance frameworks in preparation for potential IPO</li><li>Support Board and committee processes, including resolutions, minutes, and policies</li></ul><p> </p><p><strong>Commercial & Operational Legal Support</strong></p><ul><li>Draft, review, and negotiate a wide range of commercial agreements, including:</li><ul><li>Joint ventures and strategic partnerships</li><li>Supply, offtake, and services agreements</li><li>Exploration, development, and operational contracts</li></ul><li>Provide pragmatic legal advice to business teams on day-to-day operational matters</li></ul><p> </p><p><strong>Regulatory & Compliance</strong></p><ul><li>Oversee compliance with relevant <strong>natural resources, environmental, health & safety, and licensing regulations</strong></li><li>Develop and implement company-wide compliance policies, controls, and training programs</li><li>Monitor regulatory developments and assess impact on business operations</li><li>Liaise with regulators, governmental bodies, and industry stakeholders as required</li></ul><p> </p><p><strong>IPO & Capital Markets Support</strong></p><ul><li>Support IPO readiness, including legal due diligence, prospectus disclosure, and regulatory filings</li><li>Work closely with investment banks, external counsel, auditors, and other professional advisors</li><li>Advise on ongoing disclosure obligations and post-listing compliance requirements</li></ul><p> </p><p> </p><p><strong><span style="text-decoration: underline;">Your Profile</span></strong></p><p><strong>Experience & Qualifications</strong></p><ul><li><strong>15+ years of relevant legal experience</strong>, with a mix of law firm and in-house experience preferred.</li><li>Expertise within <strong>natural resources, mining, energy, infrastructure, or related sectors</strong></li><li>Exposure to <strong>Pre-IPO, IPO, or listed company environments</strong> is strongly preferred</li><li>Qualified lawyer in a common law jurisdiction (e.g. HK, UK, Australia, Singapore, US)</li><li>Fluent Mandarin and English</li><li>Prior experience with Chinese-based business environments</li><li>Open to occasional travel</li><li>Commercially minded, pragmatic, and solutions-oriented</li></ul><p> </p><p> </p><p><strong><span style="text-decoration: underline;">Apply Today </span></strong></p><p>To apply online (Word attachment only), please click the 'Apply' button.
