<p>Seeking a skilled <strong>Senior Corporate Counsel</strong> to join a boutique law firm in <strong>New York City</strong>. This position offers a<strong> FULLY REMOTE</strong> or <strong>HYBRID</strong> work environment (depending on individual&#39;s location), exceptional benefits, competitive compensation, and a generous bonus structure. The ideal candidate will have substantial experience in corporate law, particularly in transactions involving startups and early-stage companies. </p><p> </p><p><strong>Responsibilities:</strong></p><ul><li><strong>Ability to lead and negotiate equity financing deals and has experience being the lead attorney on equity financings from the term sheet stage to post-closing matters. </strong><em>*This experience is necessary for this role.</em></li><li>In addition to equity financings, extensive experience and ability to lead negotiating debt financings and merger and acquisition transactions, and advising on early to late stage legal issues including company formations, capitalization matters, secondary sales, securities laws, and corporate governance matters.</li><li>Work collaboratively with colleagues across multiple practice areas and support other attorneys and paralegals</li><li>Advise and help mitigate risk in connection with scaling a business</li><li>Standardizing policies, protocols, and processes</li></ul><p><br></p><p> </p><p><br></p><p> </p>

<p><strong> </strong></p><p><strong><u>Requirements:</u></strong></p><p><br></p><ul><li>A minimum of 6-7+ years substantive corporate experience in a law firm and/or in-house setting (preferably in a startup environment).</li><li>Active NYS Bar license or bar license in the state in which you reside</li><li>Excellent academic credentials</li><li>Extensive experience with leading negotiating venture equity, debt financings and merger and acquisition transactions, and advising on company formations, capitalization matters and corporate governance matters.</li><li>A demonstrated practical, real world, collaborative approach to problem solving with the ability to make sound decisions and exercise good judgment</li><li>Excellent negotiation, drafting, and communication skills with the ability to foster relationships and collaborate with clients. </li></ul><p>Our specialized recruiting professionals apply their expertise and utilize our proprietary AI to find you great job matches faster!</p>
